Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between Repdo Technologies ("Repdo", "we", "us") and the business or individual ("Merchant", "you") registering for and using the Repdo service.

1. Description of Service

Repdo is a software-as-a-service (SaaS) utility designed to automate polite, transactional reminder messages over WhatsApp for neighborhood retail counters and service establishments (including pharmacies, salons, fitness clubs, student hostels, tutoring centers, and auto workshops).

Repdo facilitates reminders based on customer check-in intervals configured by the Merchant.

2. Merchant Obligations & Customer Consent

As a Merchant using Repdo, you acknowledge and agree that:

• Lawful Consent: You must obtain explicit permission from every customer before entering their name and phone number into Repdo. You will not add purchased lists, scraped phone numbers, or arbitrary contacts.
• Right to Opt-Out: If any customer informs you verbally, in writing, or replies STOP to opt out of reminders, you will respect their choice immediately.
• Accuracy of Information: You are responsible for entering accurate schedule intervals, medicine/service names, and phone numbers.
• Compliance with Indian Law: You agree to comply with India's Digital Personal Data Protection Act, 2023 (DPDP Act) and all applicable consumer protection guidelines.

3. Subscriptions, Free Trial & Billing

15-Day Free Trial: We offer a 15-day risk-free trial so you can evaluate how reminders help your regular business. No credit card is required to begin.

Paid Plans: After the trial period, continuous service requires an active subscription to one of our plans (Starter, Standard, or Pro) billed monthly.

Taxes: All subscription prices listed on the website are exclusive of Goods and Services Tax (GST). Invoices will reflect applicable GST (18%) in accordance with Indian tax statutes.

4. Delivery Disclaimer: Best-Effort Service

Repdo dispatches reminder notifications via telecommunication gateways and the WhatsApp Business messaging network. While we strive for 99.9% platform availability, delivery of individual WhatsApp messages depends upon third-party network providers, recipient device connectivity, battery saver states, and telecom routing.

IMPORTANT: Repdo is not a critical medical device, emergency alert system, or life-support notification tool. Merchants and customers must not rely on Repdo as the sole mechanism for life-saving medical timing.

5. Acceptable Use Policy

You agree NOT to use Repdo to:

• Send unsolicited marketing blasts, mass promotional broadcasts, or cold spam.
• Promote illegal pharmaceuticals, banned substances, counterfeit goods, or predatory financial schemes.
• Impersonate other businesses or deceive customers regarding pricing or product availability.
• Violate WhatsApp Business Messaging Policies or Indian telecom regulations.

Violation of this policy will result in immediate termination of the Merchant account without refund.

6. Limitation of Liability

To the maximum extent permitted by Indian law, Repdo shall not be liable for any indirect, incidental, punitive, or consequential damages, including loss of profits, lost revenue, lost inventory, or business disruption resulting from:

• Third-party platform downtime (including Meta / WhatsApp outages or telecom failure).
• Delays or failures in message delivery caused by recipient carrier blocks or network errors.
• Customer disputes arising between the Merchant and their end-consumer.

Our total aggregate liability under any claim arising out of these Terms shall not exceed the subscription amount paid by the Merchant to Repdo in the three (3) months preceding the incident.

7. Account Cancellation & Data Export

Merchants may cancel their subscription at any time. Upon cancellation, you may request a full CSV export of your customer schedule entries. Customer contact records will be permanently erased from our operational database within thirty (30) days following account termination.

8. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Republic of India. Any dispute, controversy, or claim arising out of or relating to this agreement shall be subject to the exclusive jurisdiction of the competent courts in Bengaluru, Karnataka, India.
